台新銀想嫁給彰銀　金管會提出4大審查要項

針對台新金逼婚，希望能促成彰化銀行合併台新銀行一事，金管會副主委王儷玲2日強調，若合併案經董事會及股東會決議通過，並提出申請，金管會將從財務狀況、法律遵循、公司治理、健全發展等4要項進行審查，再決定是否批准合併。

針對財政部發函給金管會公文，要求調查台新金是否藉由推動整併動作拉抬股價，金管會表示，已收到公文，目前證交所有監視的機制，隨時掌握各公司的股票表現狀況，如果有涉及不法，會依照相關規定辦理。

同時，金管會強調，合併案必須獲得董事會、股東會的「決議通過」，也呼籲，彰銀大股東間持續進行較良善的溝通。

王儷玲進一步表示，依規定合併案必須在董事會、股東會決議通過，而所謂「決議通過」指董事、股東形成共識，達成協議，之後合併案才能送到金管會提出申請。

王儷玲也強調，有關金融併購案只有在和諧，通過董事會、股東會的決議下，基於公司治理以及全體股東最大利益考量的基礎，才符合程序，若不是很合意的併購方式，未來公司治理也會出問題。

對於台新金若動用表决，強行在董事會通過彰銀與台新銀的合併案，王儷玲說，若合併案已決議通過，並向金管會提出申請，金管會將從財政狀況、法令遵循、公司治理還有健全的發展狀況等4大要項進行審查。
